These Terms & Conditions (“Terms”) govern the use of the website, mobile applications, and related services provided by Zu-Man (“Zu-Man,” “we,” “us,” or “our”). By accessing or using the Zu-Man platforms (the “Platforms”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Platforms.
These Terms apply to customers (users), vendors (merchants), and riders (delivery partners), as applicable.
The Platforms may be used by:
Individuals who are at least 18 years old
Corporate or legal entities
Users must be at least 18 years old to create an account and place orders. Use by minors is not permitted unless supervised by a parent or legal guardian who assumes full responsibility.
By using the Platforms, you confirm that you have read, understood, and accepted these Terms.
To place orders, users must create a Zu-Man account using:
A valid email address
Mobile phone number
Password
You are responsible for safeguarding your account credentials. All activities conducted through your account are deemed authorized unless proven to be fraudulent and not caused by you.
Zu-Man may suspend or terminate accounts that are used without authorization or that violate these Terms, related policies, or applicable laws.
Users may browse available vendors by entering a delivery address, select items, and complete checkout. An order is considered placed once confirmation is displayed in the app or a receipt is issued.
Vendor preparation time reflects food or item preparation only. Delivery time estimates depend on traffic, distance, weather, and rider availability and are not guaranteed.
Some vendors may require a minimum order value. Users may add items or pay the difference to meet the requirement.
Reasonable efforts will be made to follow special instructions. However, fulfillment is not guaranteed and refunds are not assured for unmet instructions.
Prices are displayed in Philippine Peso (PHP) and may differ from in-store prices. Prices may include VAT or other government-mandated taxes where applicable.
Available payment methods may include:
Cash on Delivery (COD)
GCash
Maya
Bank Transfer
Zu-Man does not store card details if card payments become available.
Delivery availability depends on vendor service areas and external conditions. Estimated delivery times are not guaranteed.
Orders may be canceled without refund if:
No recipient is available
The user is uncontactable
Address details are incorrect or inaccessible
Required ID for restricted goods is not presented
For pick-up orders, vendors may hold items for up to 20 minutes past the scheduled time.
Users may cancel orders only before vendor acceptance. Refunds may be issued for:
Orders canceled before vendor acceptance
Wrong, missing, or defective items (with proof)
Verified service issues after investigation
Refund processing times depend on the original payment method.
Zu-Man reserves the right to cancel orders suspected of fraud or abuse.
Alcohol and tobacco deliveries are permitted only where legally allowed. Valid government-issued ID is required. Riders may refuse delivery if verification fails or delivery is unsafe.
Zu-Man does not guarantee allergen-free products. Users with allergies should contact vendors directly before ordering.
Promotions and vouchers are subject to conditions, expiry dates, and availability. Zu-Man may modify or revoke promotions at any time.
Users may submit feedback provided it is lawful and not abusive, defamatory, misleading, or offensive.
Zu-Man provides the Platforms “as is.” Vendors are solely responsible for the quality, preparation, and accuracy of their goods. Zu-Man is not liable for indirect, incidental, or consequential damages.
Zu-Man operates as a technology platform connecting users, vendors, and riders and does not prepare or sell goods unless explicitly stated.
This section applies exclusively to vendors (merchants) who sell goods or services through Zu-Man.
By registering as a vendor, being activated, or continuing to use the Zu-Man vendor platform, you agree to be bound by these Vendor Terms & Conditions.
Vendors must:
Be legally registered businesses or authorized sellers
Ensure menu accuracy, pricing, availability, and descriptions
Prepare orders in a timely, hygienic, and lawful manner
Comply with applicable food safety, health, and consumer laws
Vendors are solely responsible for the quality, legality, and safety of their goods.
Zu-Man may charge vendors a commission per completed order as agreed during onboarding or as updated with notice.
Zu-Man may deduct:
Platform commissions
Delivery-related charges
Refunds, adjustments, or penalties where applicable
Payout schedules, methods, and minimum thresholds are determined by Zu-Man and communicated to vendors.
Vendors acknowledge that wallet balances displayed in the application may be subject to adjustments for refunds, disputes, penalties, or operational corrections prior to final payout.
Vendors must accept or reject orders promptly and prepare accepted orders accurately.
Vendors may be responsible for refunds or adjustments resulting from:
Incorrect, missing, or defective items
Failure to fulfill accepted orders
Zu-Man reserves the right to determine responsibility after investigation.
Vendors are not required to operate exclusively with Zu-Man and may use other platforms unless otherwise agreed in writing.
Vendors are responsible for their own taxes, registrations, and regulatory compliance. Zu-Man does not provide tax or legal advice.
Zu-Man may suspend or terminate vendor accounts for repeated service failures, fraud, abuse, or violations of these Terms or applicable laws.
Zu-Man is not liable for vendor loss of profits or business interruption. Vendors agree to indemnify Zu-Man against claims arising from their goods, operations, or violations.
This section applies exclusively to riders or delivery partners (“Riders”).
By registering, accepting delivery requests, or continuing to use the Zu-Man rider application, you agree to these Rider Terms & Conditions.
Riders are independent contractors and not employees, agents, or representatives of Zu-Man.
Nothing in these Terms creates an employment, partnership, or joint venture relationship.
Riders must:
Deliver orders safely and promptly
Handle goods with reasonable care
Communicate professionally
Comply with traffic and safety laws
Riders must not engage in fraudulent, abusive, or unsafe behavior.
Riders are responsible for their own vehicles, fuel, maintenance, mobile devices, licenses, and insurance (if applicable). Zu-Man does not provide employment benefits.
Riders may earn delivery fees or incentives as displayed in the app. Zu-Man may adjust earnings for canceled, failed, or disputed deliveries after investigation.
Riders must operate vehicles lawfully and may refuse deliveries deemed unsafe or unlawful. Zu-Man may suspend riders for behavior that endangers others.
Zu-Man may suspend or terminate rider accounts for misconduct, repeated delivery failures, fraud, or violations of these Terms or applicable laws.
Zu-Man is not liable for rider injuries, accidents, vehicle damage, or loss of income. Riders agree to indemnify Zu-Man against claims arising from their actions.
Use of the Platforms is subject to the Zu-Man Privacy Policy.
Zu-Man may update these Terms at any time. Continued use of the Platforms constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Republic of the Philippines. Disputes shall first be resolved through good-faith negotiation, then submitted to Philippine courts if unresolved.
Severability: Invalid provisions do not affect the remainder
Assignment: Zu-Man may assign its rights
No Waiver: Failure to enforce is not a waiver
Force Majeure: No liability for events beyond control
Electronic Communications: Notices may be sent electronically
